1. Acceptance of Terms
These Terms & Conditions govern your access to and use of UCO AI’s website, services, consulting engagements, and digital products. By requesting a consultation, entering into a services agreement, or using any part of our site, you acknowledge that you have read, understood, and agree to these terms.
2. Services & Engagements
All proposals, statements of work, and master service agreements describe the specific scope, deliverables, timelines, and fees for each engagement. Any changes to scope must be mutually agreed upon in writing. We reserve the right to update or discontinue services with reasonable notice.
3. Client Responsibilities
You agree to provide timely access to relevant stakeholders, systems, and information required for us to deliver services effectively. You are responsible for reviewing deliverables, providing feedback, and making decisions within agreed-upon timelines so that projects stay on track.
- Ensure internal data and systems provided to UCO comply with applicable laws
- Maintain appropriate security controls for shared credentials or environments
- Designate a primary point of contact empowered to make project decisions
4. Intellectual Property
Unless otherwise agreed, UCO retains ownership of methodologies, templates, software accelerators, and other background IP used in the delivery of services. Upon full payment, clients receive a worldwide, non-exclusive license to use the deliverables provided for their internal business purposes.
5. Fees, Invoicing & Taxes
Fees are outlined in each statement of work or proposal. Invoices are due within the payment window stated on the invoice. Late payments may accrue interest as permitted by law. All fees exclude applicable taxes, duties, or government charges, which remain the responsibility of the client.
6. Confidentiality
Both parties agree to keep proprietary or confidential information received from the other party secure and use it solely for the purpose of fulfilling the engagement. These obligations survive the completion or termination of any project.
7. Disclaimers & Limitation of Liability
Strategic recommendations, AI models, and software prototypes involve assumptions and dependencies. UCO makes no guarantee of specific results, revenue, or savings unless explicitly stated in writing. To the maximum extent permitted by law, UCO’s total liability for any claim is limited to the fees paid for the applicable services.
8. Governing Law
These Terms & Conditions are governed by the laws of the State of Florida, without regard to its conflict of law principles. Any disputes will be resolved in the state or federal courts located in Miami-Dade County, Florida, unless otherwise agreed in writing by both parties.
9. Updates to These Terms
We may update these Terms & Conditions to reflect changes in our services, legal requirements, or business practices. When we make updates, we will revise the “Last updated” date. Continued use of our site or services after an update constitutes acceptance of the revised terms.
